Welcome to PaperLei.

These Terms of Service (“Terms”) govern your access to and use of the PaperLei website, online store, products and related services (collectively, the “Services”).

The terms “PaperLei”, “we”, “us” and “our” refer to the business operating the PaperLei brand and website.

PaperLei specializes in custom-printed food packaging paper and related packaging products, including custom food wrapping paper, liner paper and paper bags.

By accessing our website, placing an order, uploading artwork, or otherwise using our Services, you agree to be bound by these Terms and the policies referenced in them, including our Privacy Policy, Shipping Policy, and Returns & Refund Policy.

If you do not agree with these Terms, please do not use our Services.

1. ELIGIBILITY AND USE OF OUR SERVICES

You must be legally capable of entering into a binding contract under the laws applicable to you in order to place an order with PaperLei.

By using our Services, you confirm that the information you provide to us is accurate, complete and current.

You agree not to use our website or Services for any unlawful, fraudulent, abusive or unauthorized purpose.

We reserve the right to refuse or restrict access to our Services where reasonably necessary to prevent fraud, abuse, unlawful activity, or violation of these Terms.

2. OUR PRODUCTS

PaperLei primarily offers customized food packaging products made according to customer-selected specifications and artwork.

Our products may include:

Custom Deli Paper
Custom Food Liner Paper
Custom Tray Liners
Custom Basket Liners
Custom Paper Bags
Other customized food packaging products

Product availability, specifications, materials, sizes, printing options and minimum order quantities may vary.

We reserve the right to modify, discontinue or limit the availability of products or product options.

Product appearance

We make reasonable efforts to display product images, colors and specifications accurately.

However, colors shown on digital screens may differ from the final printed product due to differences in monitors, devices, printing processes, paper characteristics and other technical factors.

Where color accuracy is particularly important, we recommend requesting a physical sample or discussing color requirements with us before placing a production order.

3. CUSTOM ORDERS

Because many PaperLei products are produced specifically for each customer, customized orders are different from standard off-the-shelf products.

A custom order may include:

Customer-supplied artwork
Logos or branding
Custom dimensions
Custom colors
Custom printing
Custom quantities
Customer-specific packaging requirements
Other personalized specifications

By placing a custom order, you acknowledge that the product will be manufactured according to the specifications and artwork agreed upon for your order.

Custom products generally cannot be returned or exchanged simply because you change your mind, order the wrong size or quantity, or no longer require the product.

This does not affect any rights you may have where a product is defective, damaged, incorrectly supplied, or does not conform to the agreed specifications or applicable law. UK consumer law protects rights relating to faulty, misdescribed or otherwise non-conforming goods.

4. ARTWORK AND PROOF APPROVAL

For customized products, PaperLei may provide a digital artwork proof or confirmation before production.

Customers are responsible for carefully reviewing the final artwork before approving production.

Once artwork has been approved by the customer, production may begin.

PaperLei is not responsible for errors contained in customer-provided artwork that were clearly present in the artwork approved by the customer.

If PaperLei makes an error during production that causes the final product to materially differ from the approved artwork or agreed specifications, please contact us so that we can investigate and provide an appropriate remedy.

5. CUSTOMER-SUPPLIED ARTWORK AND INTELLECTUAL PROPERTY

When you upload, submit or provide artwork, logos, trademarks, photographs, designs or other materials (“Customer Content”), you confirm that:

You own the Customer Content or have the necessary rights and permissions to use it;
You have the right to authorize PaperLei to reproduce the Customer Content for the purpose of fulfilling your order;
Your Customer Content does not infringe the copyright, trademark, privacy, publicity or other rights of any third party; and
Your Customer Content does not contain unlawful, defamatory, fraudulent, hateful or otherwise prohibited material.

You grant PaperLei a limited, non-exclusive right to use, reproduce, modify as technically necessary, and transmit your Customer Content solely for the purposes of preparing, producing, quality-checking, packaging and delivering your order.

We do not acquire ownership of your artwork or trademarks merely because you submit them to us.

6. CUSTOMER RESPONSIBILITY FOR TRADEMARKS AND DESIGNS

You are solely responsible for ensuring that any logo, trademark, character, photograph, artwork, slogan or other intellectual property you provide to PaperLei may legally be reproduced.

PaperLei may refuse to reproduce artwork where we reasonably believe that doing so may violate applicable law or third-party rights.

If a third party brings a claim against PaperLei arising from Customer Content supplied by you, you agree to reasonably cooperate with us in addressing the claim.

7. ORDER PLACEMENT AND ACCEPTANCE

When you submit an order through our website, you are making an offer to purchase the selected products.

Your order is not necessarily accepted merely because you receive an automated order confirmation.

PaperLei may review the order before accepting it, particularly where the order involves:

Custom specifications
Custom artwork
Large quantities
Unusual product requirements
Shipping restrictions
Payment or fraud concerns

We reserve the right to decline or cancel an order where there is a reasonable business, technical, legal, payment, fraud or production-related reason.

If we cancel an order after payment has been received, we will arrange an appropriate refund of amounts paid for the cancelled order, subject to applicable law.

8. ORDER CHANGES AND CANCELLATIONS

Please contact us as soon as possible if you need to change or cancel an order.

Before production begins

We will make reasonable efforts to accommodate your request.

After production begins

Because customized products may involve materials, printing plates, production capacity and other costs specifically allocated to your order, changes or cancellations may no longer be possible once production has started.

Any cancellation or modification will be handled in accordance with our Returns & Refund Policy and applicable law.

9. PRICES AND PAYMENT

Prices displayed on our website are subject to change.

The applicable product price will generally be the price displayed when you place your order, unless there is an obvious pricing error or another clearly stated condition applies.

Depending on the destination and applicable tax rules, prices may or may not include:

VAT
Sales tax
Import duties
Customs charges
Shipping charges
Other destination-related fees

Any applicable charges that are the customer's responsibility will be communicated where required.

You agree to provide accurate and complete payment and billing information.

You confirm that you are authorized to use the payment method used for your purchase.

10. SHIPPING AND DELIVERY

We ship products internationally from our production and fulfillment facilities.

Estimated delivery times may vary depending on:

Production time
Shipping method
Destination
Customs clearance
Carrier availability
Weather
Holidays
Government restrictions
Other circumstances beyond our reasonable control

Any delivery date provided by PaperLei is an estimate unless expressly stated otherwise.

For customized products, the production period is separate from the shipping transit period.

11. CUSTOMS, IMPORT DUTIES AND TAXES

For international orders, the destination country may impose customs duties, import taxes, VAT, brokerage fees or other charges.

Unless expressly stated otherwise at checkout or in a written agreement, the customer is responsible for any applicable destination-country charges.

Customers are also responsible for providing accurate shipping and customs information where required.

PaperLei is not responsible for delays caused by customs authorities or inaccurate information provided by the customer.

12. PRODUCT QUALITY AND SPECIFICATIONS

PaperLei will make reasonable efforts to manufacture products according to the specifications agreed for your order.

Where applicable, specifications may include:

Paper type
Paper weight / GSM
Dimensions
Printing method
Printing colors
Quantity
Packaging requirements
Other agreed technical specifications

Minor manufacturing tolerances may occur where reasonably unavoidable in commercial paper manufacturing and printing.

However, nothing in these Terms limits any mandatory rights you may have under applicable consumer protection law.

For example, UK law provides that goods supplied to consumers must generally be as described, of satisfactory quality and fit for purpose.

13. FOOD-CONTACT PRODUCTS

Some PaperLei products may be intended for use in food packaging.

Where a product is specifically marketed or supplied as suitable for food contact, the applicable material specifications or compliance information will be provided where relevant to the product and order.

Customers are responsible for using the product only for the intended application and under conditions appropriate to the agreed product specifications.

If you require specific food-contact compliance, certification, testing, coating, grease resistance, temperature resistance or other technical requirements, please confirm these requirements with PaperLei before placing your order.

14. RETURNS AND REFUNDS

Because many PaperLei products are custom-made and personalized, customized products generally cannot be returned or exchanged simply because the customer changes their mind.

However, this does not affect applicable legal rights relating to defective, damaged, incorrectly supplied or misdescribed products.

15. INTELLECTUAL PROPERTY

All content on the PaperLei website, including but not limited to:

PaperLei trademarks
Logo
Brand name
Product names
Text
Graphics
Photographs
Videos
Website design
Layout
Product descriptions
Original marketing materials

is owned by or licensed to PaperLei and is protected by applicable intellectual property laws.

You may not reproduce, copy, modify, distribute, sell or commercially exploit our website content without our prior written permission.

Nothing in these Terms grants you ownership of PaperLei's intellectual property.

16. CUSTOMER REVIEWS AND FEEDBACK

If you voluntarily submit reviews, testimonials, suggestions, photographs or other feedback to PaperLei, you grant us a non-exclusive, worldwide, royalty-free right to use, reproduce and display that content for the purposes of operating and promoting our business, subject to applicable law.

We may remove content that is unlawful, misleading, defamatory, abusive, infringing or otherwise inappropriate.

You remain responsible for ensuring that any content you submit does not violate the rights of another person or business.

17. THIRD-PARTY SERVICES

Our website may use third-party services, applications or platforms, including payment providers, shipping providers, analytics tools and Shopify.

These third-party services may have their own terms and privacy policies.

PaperLei is not responsible for the independent operation, availability or policies of third-party services to the extent permitted by law.

18. SHOPIFY

PaperLei's online store is powered by Shopify.

Shopify provides the ecommerce platform that enables us to offer our products and Services.

However, purchases made through our website are transactions between you and PaperLei.

Shopify is not responsible for the products sold by PaperLei or for the fulfillment of your order.

19. PROHIBITED USES

You may not use our Services:

For any unlawful purpose;
To infringe intellectual property rights;
To submit fraudulent information;
To upload malicious code;
To interfere with website security;
To impersonate another person or business;
To engage in fraudulent transactions;
To scrape or systematically reproduce our website content without permission;
To interfere with the operation of the website; or
For any activity that violates applicable law.

We may suspend or terminate access where we reasonably believe that these Terms have been violated.

20. WEBSITE AVAILABILITY

We do not guarantee that the website or Services will always be available, uninterrupted or error-free.

We may temporarily suspend or modify the website for maintenance, technical upgrades, security reasons or other operational requirements.

Nothing in these Terms limits any rights you may have under applicable law.

21. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, PaperLei will not be responsible for indirect, incidental, special or consequential losses arising from your use of the website or products.

However, nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including liability relating to applicable statutory consumer rights, fraud, or death or personal injury caused by negligence where such exclusion or limitation would be unlawful.

For business customers, to the extent permitted by law, PaperLei's liability may be limited to the amount paid by the customer for the affected order giving rise to the claim.

This limitation does not apply where such limitation is prohibited by applicable law.

22. EVENTS BEYOND OUR CONTROL

We will not be responsible for failure or delay caused by circumstances beyond our reasonable control.

Such circumstances may include:

Natural disasters
War
Government restrictions
Epidemics or pandemics
Strikes
Port closures
Carrier disruptions
Customs delays
Power outages
Material shortages
Significant supply-chain disruptions
Other events beyond our reasonable control

Where reasonably possible, we will communicate material delays to affected customers.

23. INDEMNIFICATION

To the extent permitted by applicable law, if you use Customer Content that infringes the rights of another person or business, or if you materially breach these Terms, you may be responsible for losses or claims arising directly from that breach.

Nothing in this section requires you to indemnify PaperLei for losses caused by PaperLei's own unlawful conduct, negligence or breach of its legal obligations.

24. SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be modified or removed only to the extent necessary, and the remaining provisions will continue to apply.

25. ENTIRE AGREEMENT

These Terms, together with the policies expressly incorporated into them, constitute the agreement between you and PaperLei regarding your use of the Services and purchase of products through our website.

These Terms should be read together with:

Where an order-specific written agreement expressly conflicts with these Terms, the order-specific agreement will govern that particular order to the extent permitted by law.

We may update these Terms from time to time to reflect changes in our business, products, Services or legal requirements.

The updated version will be posted on this page with a revised “Last Updated” date.

Changes will apply from the effective date stated in the updated Terms and will not retrospectively alter rights that have already arisen under a completed order, except where required by law.

27. GOVERNING LAW

This section should be finalized after your UK company has been incorporated.

These Terms will be governed by the laws applicable to the PaperLei business, subject to any mandatory consumer protection laws that apply in the customer's country of residence.

Nothing in these Terms is intended to deprive consumers of mandatory rights or protections available to them under the laws that apply to their transaction.
